By accessing and using NexClock, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

We reserve the right to modify these Terms of Service at any time, and changes will be effective immediately upon posting. Continued use of NexClock following any such changes constitutes your acceptance of the new Terms.

NexClock provides free online time management tools including but not limited to: digital clocks, analog clocks, stopwatches, timers, world clocks, time zone converters, meeting planners, pomodoro timers, time calculators, and alarm clocks. All services are provided "as-is" without charge.

We make no guarantee regarding the availability or performance of these services at any specific time. We may modify, suspend, or discontinue any part of the service at any time without notice.

All content on NexClock, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of NexClock or its content suppliers and is protected by international copyright laws.

Limited personal, non-commercial use is permitted for your own purposes. All other uses require explicit written permission.

By using NexClock, you agree not to:

Violation of any of these provisions may result in immediate suspension or termination of your access to the service.

To the maximum extent permitted by law, NexClock shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service, including but not limited to:

• Loss of revenue or profit
• Loss of data or business opportunities
• Missed meetings or scheduling errors
• Equipment or software damage
• Unauthorized access to personal devices

This limitation applies even if NexClock has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of implied warranties, so this limitation may not apply to you.

You agree to indemnify, defend, and hold harmless NexClock, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms of Service
• Your use of NexClock services in violation of applicable law
• Your infringement of third-party intellectual property rights
• Any harmful or unlawful content you submit

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any legal action or proceeding relating to this agreement shall be exclusively submitted to the state and federal courts located in California, and you irrevocably consent to the personal jurisdiction and venue of these courts.

These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire and exclusive understanding between you and NexClock regarding your use of the service. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, void, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed, and the remaining terms shall continue in full force and effect.

We reserve the right to suspend or terminate your access to NexClock at any time, with or without cause, and with or without notice. Upon termination, your right to use the service immediately ceases.
